SCOSDesk is an institutional proprietary trading system used exclusively to trade capital owned by SHAKSETTLE Capital. It does not custody customer assets, does not accept retail deposits, and does not solicit investment from the general public.

About These Terms

These Terms of Use (the "Terms") govern access to and use of SCOSDesk (the "Platform"), an institutional proprietary trading platform designed, owned, and operated by SHAKSETTLE Capital Ltd. ("SHAKSETTLE Capital", "we", "us", or "our") to support the internal digital asset treasury operations of SHAKSETTLE Capital and its affiliates. The Platform is a proprietary internal system. It is not offered to the public, is not marketed to retail customers, and is not intended to accept third-party assets under management.

Eligibility and Authorized Access

Access to the Platform is granted only to individuals who are: (i) employees, officers, or directors of SHAKSETTLE Capital or its affiliates; (ii) contractors or service providers under a written engagement; or (iii) counterparties or auditors expressly authorized in writing by SHAKSETTLE Capital. Unauthorized access, sharing of credentials, or use outside your assigned scope is strictly prohibited.

Account Security and Credentials

You are responsible for maintaining the confidentiality of your credentials, including passwords, session tokens, multi-factor authentication devices, and API keys. Notify SHAKSETTLE Capital immediately of any suspected unauthorized use, credential compromise, or security incident.

Permitted Use

The Platform is provided solely for internal proprietary trading, treasury execution, monitoring, reporting, and related operational activities of SHAKSETTLE Capital. Prohibited uses include: trading on behalf of third parties or retail customers; soliciting or managing third-party assets; circumventing risk limits or governance gates; reverse engineering the Platform; and using Platform data for personal trading or external advisory.

Intellectual Property

The Platform, including all software, source code, models, algorithms, dashboards, documentation, trademarks, and design assets, is the exclusive property of SHAKSETTLE Capital or its licensors. You receive only a limited, revocable, non-transferable right to use the Platform for authorized internal purposes.

Confidentiality

The Platform contains confidential and proprietary information of SHAKSETTLE Capital, including trading strategies, position data, counterparty information, risk models, and operational procedures. You must treat all such information as strictly confidential and must not use it for any purpose other than performing your authorized duties.

No Investment Offering; No Advice

Nothing in the Platform constitutes an offer, solicitation, recommendation, or advice to buy, sell, or hold any digital asset, security, or financial instrument. SCOSDesk is not a broker-dealer, not an exchange, not a custodial service, and not an investment fund or collective investment vehicle.

Risk Acknowledgement

Digital asset markets are volatile and subject to operational, technological, legal, and regulatory risk. Trading activities executed through the Platform are undertaken by SHAKSETTLE Capital using its own capital and at its own risk.

Compliance and Applicable Law

Users must comply with all applicable laws, regulations, sanctions regimes, and internal compliance policies, including AML, CTF, sanctions screening, market-conduct, tax, and data-protection obligations. SHAKSETTLE Capital may suspend or terminate access to preserve compliance.

Monitoring, Logging, and Audit

All access to and activity on the Platform is logged, monitored, and subject to internal and external audit. By using the Platform you consent to the collection and review of logs, telemetry, access records, trading actions, and communications generated on the Platform.

Availability, Changes, and Termination

SHAKSETTLE Capital may modify, suspend, or discontinue any part of the Platform at any time, with or without notice. Access may be revoked at any time where continued access would breach these Terms, internal policy, applicable law, or a governance decision.

Disclaimers and Limitation of Liability

To the maximum extent permitted by applicable law, the Platform is provided on an "as-is" and "as-available" basis, without warranties of any kind. SHAKSETTLE Capital and its affiliates shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunity.

Indemnity

You agree to indemnify and hold harmless SHAKSETTLE Capital and its affiliates from any claims, losses, damages, liabilities, and expenses arising out of your breach of these Terms, misuse of the Platform, violation of applicable law, or infringement of any third-party right.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which SHAKSETTLE Capital is domiciled. Disputes shall be resolved through the internal escalation procedures of SHAKSETTLE Capital and, failing resolution, through binding arbitration or the competent courts of that jurisdiction, at SHAKSETTLE Capital's election.
